About the Webinar:

This webinar will provide a comprehensive overview of the U.S. tariff structure and current tariff policies, examining their implications on cross-border M&A, global supply chain and business operations. ALFAI attorneys will offer strategic approaches to managing risk from tariff and trade uncertainty in negotiating M&A purchase agreements as well as distribution and other supply chain arrangements, including appropriate tariff due diligence, the use of contract and other risk allocation contractual clauses such as pass-through and earnout provisions, use of accurate customs classification, origin and valuation planning, and leveraging U.S. Foreign Trade Zones and Free Trade Agreements. Attendees will leave with actionable insights to reduce costs, mitigate risks, and adapt their strategies in response to an evolving trade environment.

Panelists:

Eddy Hayes is a partner with Leake Andersson, the ALFA International member firm in New Orleans, Louisiana, and is currently on the ALFAI Board of Directors as Chair Emeritus. He focuses on both litigation and international trade and business matters. Eddy represents clients in product liability, insurance, maritime, and commercial litigation matters in state and federal courts throughout the Gulf South region. Eddy also has extensive experience handling MDL, class action and mass casualty cases. In addition to his litigation practice, Eddy leads the firm’s international trade and business practice. The firm’s international trade and business practice focuses on a wide variety of international issues, including corporate and customs matters, import/export transactions, international sales of goods and services, and antidumping/countervailing duty proceedings before the Department of Commerce and International Trade Commission. Eddy also maintains an active international public policy and government relations practice, advising businesses and local governments on international trade policy economic development issues, including the business implications of free trade agreements.

Eric Kuhn primarily represents middle-market companies, typically family and private equity fund owned, on their activities in the United States.  Mr. Kuhn often acts as “outside general counsel” for his client across a range of business life cycle matters (e.g., entity formation, shareholder and limited liability company operating agreements, internal governance, employment matters, commercial agreements, real estate, and litigation and dispute resolution matters) and “deal counsel”, primarily on mid-market M&A, joint venture, financing and other corporate transactions throughout the United States.  Many of Mr. Kuhn’s clients are from overseas, particularly from Europe, but also from LatAm and other regions.  Mr. Kuhn works closely with the owners and top management at his clients, establishing long term relationships as trusted advisor in the U.S. In this role, Mr. Kuhn brings substantial knowledge of the legal system and business culture of civil law jurisdictions, enabling him to explain how U.S. law and business practice differ from those in the clients’ home countries in addition to advising on the workings of U.S. law.  Mr. Kuhn joined Becker Glynn in 2012, the ALFAI corporate transactions and business litigation member firm in New York City, after having practiced for over a decade at major U.S. international law firms, including five years as resident of those firms’ Italian (Rome and Milan) offices. Mr. Kuhn has also lived and worked in Latin America (Mexico and Argentina), holds dual Italian and U.S. nationalities, and is fluent in Spanish and Italian.
