Eric D. Kuhn
Eric D. Kuhn primarily represents European middle-market companies, typically family and private equity fund owned, in their entry and activities in the United States (often the reference market for the client’s sector). Eric also represents private, financial investors, in particular family offices and private clients, on their U.S. investments.
In his practice, Eric often acts, with the support of other Becker Glynn attorneys, as one or both of the following:(1) “outside general counsel” on a range of business life cycle matters—e.g., entity formation, shareholder and limited liability company operating agreements, internal governance (including acting as “corporate secretary”) and employment matters, commercial arrangements with third parties (manufacturing, distribution, license and confidentiality agreements), real estate, and litigation and dispute resolution matters; and/or
(2) “deal counsel” on mid-market M&A, joint venture, financing and other corporate transactions throughout the United States, including:
(i) tax and deal structuring;
(ii) LOIs, non-disclosure agreements and other preliminary deal documentation;
(iii) legal due diligence review of target; and
(iv) preparation and negotiation of transaction documentation (e.g., asset and stock/equity purchase agreements, operating agreements for LLC-based transactions, management and employment arrangements, and escrow, transition service, leases, and other ancillary agreements).
Eric works closely with the owners and top management at his clients, establishing long term relationships as trusted advisor in the U.S. In this role, Eric brings substantial knowledge of the legal system and business culture of civil law jurisdictions, enabling him to explain how U.S. law and business practice differ from those in the clients’ home countries in addition to advising on the workings of U.S. law.
Eric joined Becker Glynn in 2012, after having practiced for over a decade at major U.S. international law firms earlier in his career, including five years as resident of those firms’ Italian (Rome and Milan) offices. Eric has also lived and worked in Latin America (Mexico and Argentina), holds dual Italian and U.S. nationalities, and is fluent in Spanish and Italian.
