Tiefenbacher (Germany) Advises Casco Group in the Course of the Acquisition by 2Ride Holding

August 8, 2022

Tiefenbacher advised the owner family of the Casco Group in all phases of the transaction with lawyers from both of its offices in Dresden and Heidelberg, led jointly by the two commercial and corporate lawyers Christian Bartaune (Dresden) and Dr. Peter Sebastian Schneider (Partner, Heidelberg), with the support of colleagues Henning Schneider (Partner, Dresden, General Commercial Law), Dr. Gero Schneider, M.C.L., (Partner, Heidelberg, International Commercial Law), Veronika Jung (Heidelberg, Labor Law) and Jan Herning (Heidelberg, Banking and Finance).

The family-owned company Casco is a leading manufacturer of high-quality protective equipment. Helmets and goggles from Casco are known especially in the field of cycling, horseback riding and skiing and are characterized by an unsurpassed demand for safety for the wearer, without compromising appealing and innovative design. Casco manufactures its products exclusively itself, in a European subsidiary in Romania. In addition, it has a site in Germany; its products are distributed worldwide. This philosophy has enabled Casco to become one of the market leaders in the design and production of high-end helmets and eyewear. In the development and production facility in Satu Mare (Romania), a great deal of time and dedication is spent developing solutions that have led to numerous patents and awards, and for years have made many world-class athletes rely on Casco products at Olympic Games, World Championships and European competitions in winter, cycling and equestrian sports.

The 2Ride product portfolio already includes the brands Troy Lee Design, Shark, Nolan, Segura, Bering and Cairn Sport. This makes 2Ride a leading global supplier and distributor of protective equipment for bikers, motorcyclists and skiers. The acquisition of Casco by 2Ride is a unique opportunity for 2Ride to strengthen its position in the outdoor segment with a brand that has mastered the development and manufacture of its products.

In matters of Romanian law, the law firm bnt Gilescu, Văleanu & Partenerii, Bucharest, provided support, in particular through Tudor Oancea, while the tax aspects of the transaction were entrusted to Professor Lehleiter from the renowned tax law firm LEHLEITER + PARTNER TREUHAND AG Steuerberatungsgesellschaft for the seller side.
