Real Estate

DSM has an extensive track record of advising on complex real estate transactions. This includes acquisitions and project developments in Luxembourg, as well as in other jurisdictions, using Luxembourg investment vehicles. The Real Estate team consistently provides advice on transactions and follow up, handling the entire process from planning, structuring, development, contracting, financing to exit strategy. DSM has become a significant player for projects both within Luxembourg and across Europe, providing multilingual contractual support and becoming the Luxembourg firm of choice by a range of developers, institutional investors and high net worth individuals. 

Corporate and M&A

DSM advises its clients in all the phases of corporate, commercial and M&A matters.

In particular, this includes the acquisition of corporate bodies, including drafting and assisting with the negotiation of acquisition agreements and due diligence of all legal issues with respect to target companies, the assistance in the setting up of joint ventures, the advice and assistance with respect to licensing requirements for activities of various industry sectors (banking & finance, trade, advisory, real estate) , in particular with respect to public law requirements and the handling of licensing procedures with state administrations and public bodies, the drafting assisting with the negotiation of commercial contracts in various industry sectors, the drafting of security documents (share pledge, account pledge, guarantee agreements, etc.) and the representation of clients in dispute resolution, including proceedings before the national courts, as well as national and international commercial arbitration, connected to commercial contracts and disputes.

Banking & Finance, Investment Funds

DSM has been involved in advising on and creating alterative investment funds in Luxembourg, including hedge funds, real estate funds, and funds of funds. These would typically be formed as regulated entities pursuant to the Law of 13 February 2007 on specialised investment funds. DSM also advises on the incorporation and approval of SICARs, which also aims at sophisticated investors and are regulated in Luxembourg by the Commission de Surveillance du Secteur Financier (CSSF).

DSM assists with structuring, drafting the relevant documentation, interfacing with regulators, and advising on tax matters, including VAT.
