ABOUT THIS PROGRAM --- Issues relating to corporate governance are becoming more important as corporate structures become more complex and shareholders continue to assert their rights. Moreover, a wide array of guidelines promulgated by OECD, the EU Commission, and various national regulatory agencies have imposed more corporate governance obligations upon officers and directors. In this tele-seminar, our panel of ALFA International lawyers will examine the OECD guidelines, the EU Green Paper, and the regulatory regimes of Germany, Poland, and the United Kingdom as well as highlighting features of other European regulatory schemes. Presentations will provide concise summaries of key corporate governance provisions, discuss some illustrative case studies, and highlight differences among the various regulatory systems.

THE PANELISTS --- Our program will feature four lawyers from prominent ALFA International member law firms. Each lawyer is an experienced corporate attorney who advises many clients on issues relating to corporate governance. Our panel includes:
